between international manufacturers and UK/EU/global buyers.
We supply business customers only (B2B).
Formation of Contract
4.1 A contract is formed only when:
- A written quotation is issued by us; and
- The customer provides written acceptance; and
- Payment is received (where applicable)
4.2 All quotations are:
- Non-binding until accepted
- Valid for the period stated (or 7 days if unspecified)
4.3 We reserve the right to:
- Withdraw or amend quotations
- Refuse or cancel orders at our discretion
Pricing
5.1 Prices:
- Are quoted in writing
- May vary based on market conditions, supplier pricing, and logistics
5.2 Unless explicitly stated:
- Prices exclude VAT
- Prices exclude duties, taxes, insurance, and freight
5.3 Pricing is subject to:
- Currency fluctuations
- Supplier changes
- Availability at time of order
Payment Terms
6.1 Payment terms are:
- Upfront payment, or
- As agreed in writing per contract
6.2 We reserve the right to:
- Require full or partial advance payment
- Withhold dispatch until payment is received
6.3 Late payments may result in:
- Suspension of supply
- Interest charges (in line with UK commercial debt regulations)
- Cancellation of order
Delivery & Incoterms
7.1 All deliveries shall be governed by agreed Incoterms® (latest version), typically:
- FCA (Free Carrier)
- DAP (Delivered at Place)
7.2 Risk transfers:
- In accordance with the agreed Incoterm
7.3 Delivery timelines:
- Are estimates only
- Not guaranteed
7.4 We are not liable for delays caused by:
- Shipping carriers
- Customs clearance
- Port congestion
- Regulatory delays
- Force majeure events
Back-to-Back Supply Disclaimer
Where we act in a back-to-back or intermediary capacity:
8.1 Product supply is dependent on third-party manufacturers
8.2 We:
- Do not manufacture goods
- Rely on supplier-provided specifications and documentation
8.3 We shall not be liable for:
- Supplier delays
- Manufacturing variances
- Upstream disruptions beyond our control
Product Specifications & Use
9.1 Product information (including COA, TDS, MSDS):
- Is provided for guidance only
- May vary by batch and origin
9.2 Customers are solely responsible for:
- Product testing and validation
- Regulatory compliance
- Suitability for intended use
9.3 We make no warranties regarding:
- Fitness for a particular purpose
- End-product performance
Inspection & Claims
10.1 Customers must inspect goods:
- Immediately upon delivery
- Within 5 working days
10.2 Claims must be submitted in writing for:
- Damage
- Shortage
- Non-conformance
10.3 Failure to notify within this period constitutes:

11.1 Due to the nature of bulk ingredients:
❌ Returns are not accepted except where:
- Products are defective; or
- Products materially deviate from agreed specifications
11.2 Approved returns must:
- Be authorised in writing
- Be returned in original condition

- Replace goods; or
- Issue partial or full credit at our discretion
Quality & Documentation
We aim to provide:
- Certificate of Analysis (COA)
- Technical Data Sheet (TDS)
- Safety Data Sheet (MSDS), where applicable
However:
- Documents are sourced from suppliers
- Variations between batches may occur
Limitation of Liability
13.1 To the fullest extent permitted by law:
We shall not be liable for:
- Indirect or consequential losses
- Loss of profit, revenue, or business
- Product formulation failures
13.2 Our total liability shall not exceed:

The customer agrees to indemnify and hold harmless Healthnutrics Limited against:
- Claims arising from misuse of products
- Non-compliance with regulations
- Improper handling, storage, or application
Title to Goods
Ownership of goods remains with Healthnutrics Limited until:

Confidentiality
All commercial information including:
- Pricing
- Supplier details
- Documentation
Is confidential and must not be disclosed to third parties without written consent.
Force Majeure
We shall not be liable for failure or delay due to:
- Natural disasters
- War, strikes, or pandemics
- Government restrictions
- Supply chain disruptions
Intellectual Property
All website content including:
- Text
- Images
- Branding
Remains the property of Globalnutrics and may not be used without permission.
Governing Law & Jurisdiction
These Terms are governed by:
